This is an initial public offering of 14,000,000 American depositary shares, or ADSs, by Dingdong (Cayman) Limited. Each twoADSs represents three of our Class A ordinary shares, par value US$0.000002 per share. We anticipate that the initial publicoffering price per ADS will be between US$23.50 and US$25.50.

Prior to this offering, there has been no public market for the ADSs or our Class A ordinary shares. We intend to apply for thelisting the ADSs on the New York Stock Exchange under the symbol “DDL.”

Following the completion of this offering, our outstanding share capital will consist of Class A ordinary shares and Class Bordinary shares and we will be a “controlled company” under the NYSE Listed Company Manual. Mr. Changlin Liang, ourfounder, director and chief executive officer, beneficially will own all of our issued and outstanding Class B ordinary shares andwill be able to exercise 81.3% of the total voting power of our issued and outstanding share capital immediately after thecompletion of this offering, assuming that the underwriters do not exercise their option to purchase additional ADSs. Holdersof Class A ordinary shares and Class B ordinary shares have the same rights except for voting and conversion rights. EachClass A ordinary share is entitled to one vote, and is not convertible into Class B ordinary shares under any circumstances.Each Class B ordinary share is entitled to 20 votes, subject to certain conditions, and is convertible into one Class A ordinaryshare at any time by the holder thereof.
