The term mergers and acquisitions, or “M&A”, refers generally to a number of different types of transactions, including mergers, asset acquisitions and stock purchases. While there may be some degree of overlap among the various transaction types, each deal and each deal type is its own unique animal driven by certain practical and business considerations of the parties.
For example, on the sell-side, a company may look to an M&A deal to provide liquidity to its founders or because it has reached the limits of its ability to grow organically. A would-be buyer, on the other hand, may be motivated by the prospect of acquiring strategic technology, expanding product offerings, adding distribution channels or increasing market share.
